terms of service.

these terms govern your use of schema, operated by schema labs oy ("schema", "we", "us") from helsinki, finland. by signing up for a paid plan or installing the open-source engine, you agree to these terms.
1. the product
schema is two things:
- schema oss core: an mit-licensed engine you install locally. you bring your own llm api keys; we collect no telemetry. the open-source license at github.com/schema-ai/mcp governs your use of the engine itself.
- schema hub: a hosted layer (founder, team, enterprise tiers) that adds cross-repo pr review, shared rule packs, and agents.md publishing. paid subscribers to hub are bound by these terms in addition to the oss license.
2. accounts
you sign in to hub with a one-time email link. you are responsible for the security of your email account and for any activity on your schema account. tell us at hello@schema.dev immediately if you suspect compromise.
3. subscriptions and payments
3.1 founder tier ($99 / month flat)
the founder tier is billed monthly in advance via stripe. it covers one organisation, unlimited contributors, with hard caps of 50 repos and 200 prs reviewed per month. workload past either cap is queued, not charged as overage. you will never receive a surprise bill from us.
3.2 team tier ($20 / active developer / month)
an "active developer" means a unique person who opened a pr we reviewed during the billing period. seats are calculated in arrears at the end of each period.
3.3 enterprise tier
enterprise terms are set in a separate written agreement. these terms apply only to the extent not contradicted there.
3.4 cancellation and refunds
you can cancel anytime from your account page. your access continues until the end of the current period; we do not pro-rate refunds for partial months. if hub fails to deliver the value described on /pricing within 7 days of your first paid charge, contact us and we will refund that first month in full, no questions asked.
3.5 taxes
prices are exclusive of vat, gst, or sales tax. stripe tax calculates and collects applicable tax based on your billing address.
4. acceptable use
you agree not to:
- use schema to violate any law or third-party right;
- reverse-engineer the hub backend to build a competing service;
- upload content you do not have the right to share;
- attempt to bypass the founder-tier caps or rate limits;
- use schema to generate or distribute malware, spam, or harassment.
we may suspend or terminate accounts that breach this section without refund.
5. your content and code
you retain all rights to your source code and pr content. by connecting a repo to hub, you grant schema a limited license to read it solely for the purpose of extracting the graph, running rule packs, and posting pr comments on your behalf. we do not train models on your code. see privacy for retention details.
6. service availability
we aim for high availability but do not guarantee uninterrupted service on the founder or team tiers. enterprise sla commitments live in the enterprise agreement. scheduled maintenance is announced in advance when possible.
7. warranty disclaimer
schema is provided "as is" and "as available". we disclaim all warranties, express or implied, including fitness for a particular purpose. ai-generated pr comments are suggestions, not guarantees; you remain responsible for every change merged into your codebase.
8. limitation of liability
to the maximum extent permitted by law, our total liability for any claim arising from these terms is capped at the fees you paid us in the 12 months preceding the claim. we are not liable for indirect, incidental, or consequential damages, including lost profits or data.
9. changes to the service or these terms
we may update these terms by posting a new version at /terms. for material changes affecting paying subscribers we will give 30 days' notice by email. continued use after the effective date constitutes acceptance.
10. termination
either party may terminate the subscription at any time. we may terminate immediately for material breach (section 4) or non-payment. termination does not refund fees paid for the current period.
11. governing law
these terms are governed by the laws of finland. disputes are submitted to the helsinki district court, except where mandatory consumer-protection law gives you the right to sue elsewhere.
